1. GRANT OF LICENSE
Antibex™ grants you the following rights, provided that you comply with all terms and conditions of this EULA:
1.1 Access and Use
- This EULA grants you a limited, non-exclusive, non-transferable right to access and use WalnutEMR via a supported web browser or other authorized device.
- Access is limited to the number of concurrent users for which the corresponding subscription fee has been paid.
- You may not access the Software if you are a direct competitor of Antibex™, nor may you use the Software for competitive benchmarking purposes.
1.2 License Restrictions
- You may not sublicense, lease, rent, or sell access to the Software.
- You may not copy, modify, reverse-engineer, decompile, or disassemble any part of the Software, except as expressly permitted by applicable law.
1.3 Documentation
You may use the provided documentation for internal, non-commercial purposes to support your licensed use of the Software.
1.4 Templates
The Software may include document templates for use with WalnutEMR. These templates are licensed solely for use with the Software and may not be distributed, sold, or used independently.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
2.1 Evaluation Period
- Users may access the Software without charge for an evaluation period of 30 calendar days from the date of registration.
- To continue using the Software after this period, you must pay the subscription fee and activate your account.
2.2 Subscription and Renewal
- Antibex™ charges and collects fees in advance for the use of WalnutEMR.
- Subscriptions automatically renew unless canceled in writing at least 30 days before the end of the current term.
2.3 Billing and Payment
- You agree to provide accurate billing information, including your legal company name, address, email, and authorized billing contact.
- Payment is due per the terms specified in your subscription. Unpaid balances are subject to interest and collection fees as permitted by law.
2.4 Internet Connectivity
- WalnutEMR requires a stable internet connection. You are responsible for maintaining the necessary hardware and connectivity.
2.5 Updates and Maintenance
- Antibex™ may update the Software to enhance functionality or address issues. Updates are included as part of your subscription.
3. RESERVATION OF RIGHTS AND OWNERSHIP
Antibex™ retains all rights, title, and interest in and to WalnutEMR, including all intellectual property rights. This EULA does not grant you ownership of the Software or any rights to Antibex™ trademarks or service marks.
4. USER DATA AND PRIVACY
4.1 Data Ownership
All data you input into WalnutEMR remains your property. Antibex™ does not claim ownership of your data.
4.2 Data Security and Privacy
Antibex™ employs industry-standard security measures to protect user data. However, you are responsible for ensuring compliance with applicable privacy and security laws, including HIPAA (where applicable).
4.3 Data Access
Antibex™ may access your data solely to provide technical support, maintenance, or address system issues.
5. TERMINATION
5.1 Termination by User
You may terminate your subscription at any time with 30 days’ written notice. Termination is effective at the end of the current subscription period.
5.2 Termination by Antibex™
Antibex™ reserves the right to terminate your access to WalnutEMR if you fail to comply with this EULA, including non-payment or unauthorized use of the Software.
5.3 Data Retrieval Upon Termination
Upon termination, you will have 30 days to retrieve your data. After this period, Antibex™ may delete your data from its servers.
6. LIMITED WARRANTY AND DISCLAIMER
6.1 Limited Warranty
Antibex™ warrants that WalnutEMR will function as described in the documentation during your subscription term.
6.2 Disclaimer of Warranties
WalnutEMR is provided “AS IS” without warranty of any kind, except as required by law. Antibex™ disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Antibex™ is not liable for indirect, incidental, or consequential damages arising from your use of the Software.
- Antibex™’s total liability is limited to the amount you paid for the subscription during the 12 months preceding the event giving rise to the claim.
8. GENERAL TERMS
8.1 Governing Law
This EULA is governed by the laws of the Province of Ontario, Canada.
8.2 Entire Agreement
This EULA constitutes the entire agreement between you and Antibex™ concerning WalnutEMR and supersedes any prior agreements.
8.3 Severability
If any provision of this EULA is found to be unenforceable, the remaining provisions will remain in full force and effect.
